The only terms which are binding upon the Seller are: (a) those set out in these terms and conditions or otherwise agreed to in writing by the Seller; and (b) those, if any, which are imposed by law and which can not be left out.
If: (a) the Purchaser accepts the Seller's Quote (where the Quotation is in composing, by performing it); or (b) the Seller accepts the Buyer's Order, a contract is developed in between the parties whereby the Seller sells to the Purchaser the Goods on these terms. 5. After development of the agreement the order for the Item can only be cancelled by the Purchaser if the Seller consents to the cancellation and the Purchaser repays the Seller for all expenses associated with the work carried out in relation to the agreement and likewise pays the Seller a quantity equivalent to the revenues which the Seller would have accomplished had actually the contract been completed.
6. If the Seller, at any time including after creation of the agreement, considers the credit of the Buyer unacceptable the Seller may: (a) need security for payment of the Purchase Price. (b) Keep delivery until such security is received, and/or (c) cancel the agreement. 7 (Gym in Marangaroo ). These conditions (which shall just be waived in writing signed by the Seller) shall dominate over all conditions of the Purchaser's order to the level of any disparity.
The delivery time made known to the Purchaser is an estimate only and the Seller will not be accountable for late delivery or non-delivery including any loss, damage or hold-up occasioned to the Buyer or its customers arising from late or non-delivery. 9. The products shall be considered to have been absolutely accepted by the buyer on the date when delivery has been made ex-works or to an address in accordance with buyer's shipment guidelines, unless we receive written notice of problems with sufficient and legitimate factors within 7 days of the shipment date.
10. The Seller is not accountable for any loss or damage to the Goods in transit. The Seller shall render to the Buyer such help as may be necessary to make claims on carriers provided the Buyer alerted the Seller and the providers in writing instantly, such loss or damage is discovered.
At our option, we might provide surplus materials as a safety measure against damage or loss. On completion of the contract any surplus materials will remain the property of Flex Fitness Equipment and will be promptly eliminated from website. 12 (Group Training in Pearsall ). The provision of labour and an appropriate forklift for the discharging of our materials and dealing with on to the erection website and/or covered storage area is the responsibility of the buyer, unless otherwise concurred in composing.
13. Where our products are saved on website for any factor whatever in between the time of shipment and the start of installation, the care and security of such materials is the sole duty of the buyer (Personal Trainer in Carramar WA). Where the storage is at an area remote from the setup website, transfer of our materials to site is the obligation of the purchaser.
14. If the Buyer needs special packaging in relation to the Item it must be consented to in composing in between the Purchaser and the Seller, and the expense of the very same is to the Purchaser's account and accordingly will be consisted of in the Purchase Rate. When it comes to structures which need site welding a 3 phase supply with sole gain access to and adequately kept voltage is also the responsibility of the purchaser. We will more than happy to discuss any problems in the provision of these requirements and make alternative provisions if essential, however unless otherwise agreed in writing, any additional expenses will be to the purchaser's account.
It is typical procedure to bolt racking structures to the floor, and unless otherwise, our quotation makes allowance for this. However, if the flooring slab is enhanced with grid steel mesh or similar products to a level less than 70 mm below the surface, unique drilling devices will be required and any additional expenses sustained will be to the purchaser's account.
Unless mentioned in writing our quotation presumes a reasonable condition of flatness of floor. Flatness tolerances must be within + 3 mm inside a 3 metre radius. Additional costs sustained in making up for a faulty or uneven floor will be to the buyer's account. 19. We book the right to appoint or subcontract out the entire or any part of this agreement at our discretion.
Whenevers priced estimate for our conclusion or shipment work from the date of receipt by us of a composed order to proceed, together with all information and particulars we require to proceed with the manufacture without disruption or delay. All such times are to be dealt with as estimates just and we will not be responsible for failure to dispatch, install, or otherwise perform within such times unless otherwise concurred in composing.
21. The Buyer shall pay the Seller instantly. If the Buyer fails to make a payment by the due date, the Seller may, without notification, keep delivery of any additional Goods to the Purchaser and might end, without liability to the Purchaser, any or all surviving agreements in between the Seller and the Purchaser.
If payment is not made on the due date, the Seller may charge interest on the amount payable at the rate of 5% over the 90 day bank bill rate applicable on the day the payment is due. 23. The Purchase Cost is not inclusive of goods and services tax, unless otherwise specified in composing.
